The American Cancer Society understands that
many of our constituents would like to publicly acknowledge their support for the Society.
We have developed a “badge” that you may download to place on your web site or blog to
show your support for the Society and its mission. In order to download the badge and be
granted a limited, non-exclusive, revocable license to use the badge, you must agree to the
terms and conditions set forth below.

1. |

The American Cancer Society Badge (the “ACS Badge”) shall solely be
used in connection with your internet web site or blog and shall not be used in a manner
that disparages the American Cancer Society (hereinafter "ACS"), infringes on ACS intellectual
property or other rights, or dilutes the goodwill associated with ACS; |

The ACS Badge shall be used solely for noncommercial
purposes and pursuits, including, but not limited to, educational purposes; |

3. |
|
The appearance and position of the ACS Badge on your
web site shall not create an implication of sponsorship, endorsement or
affiliation with your web site, and/or any other party or non-ACS entity; |
| |
4. |
|
The ACS Badge shall not be used as a predominant
feature on your web site; it shall not be displayed larger or more prominently
than any third party logos, trademarks or trade names on the your web page; it
shall not appear at the top of your web page, but rather at the bottom,
along the sides, or in some location less prominent than the top; it may not be
altered in any way without the express written consent of the American Cancer Society; |

The ACS Badge shall not be used as a feature or design
element of any other name or trademark or graphic on the your web site; |

6. |
|
The ACS Badge shall not be used on any website
containing immoral materials or any other way that detracts from the ACS's
mission; |

7. |

The ACS Badge shall not be used on web sites containing
the following subject matter, or containing direct links to web sites containing
such subject matter: |

a. |
|
the sale or promotion of any goods or services; |
| |
|
|
b. |
|
an endorsement or perceived endorsement of any goods or services; |
| |
|
|
c. |
|
support or opposition of a political party or a political
candidate; |
| |
|
|
d. |
|
materials affiliated with tobacco or tobacco-related products and
any other products inconsistent with the ACS mission; |
| |
|
|
e. |
|
content of any nature which may result in fraud or
misrepresentation to the public; |
| |
|
|
f. |
|
pornographic or otherwise offensive sexual materials; |
| |
|
|
g. |
|
racially or ethnically prejudicial materials; |
| |
|
|
h. |
|
overtly religious materials; |
| |
|
|
i. |
|
profane materials; |
| |
|
|
j. |
|
any advertising, promotional, or other materials which may damage
the goodwill associated with ACS; |
| |
8. |
|
You acknowledge and agree that: (i) ACS reserves the right
to determine in its sole discretion whether your use of the ACS Badge complies
with the terms of this User Agreement; and (ii) ACS reserves the right to unilaterally
revoke use of the ACS Badge at any time and for any reason by amending this
agreement or by contacting you. |

All rights and licenses of any kind in the ACS Badge not expressly
granted herein are exclusively reserved to ACS. A license to use the ACS Badge is not
a license to use the ACS name or logo except as provided in the ACS Badge. You must
obtain the prior written consent of the American Cancer Society for use of any ACS trademarks. |

| ACS is not directly or indirectly responsible for the content of
any web site where the ACS Badge may appear. The use of the ACS Badge is not an
endorsement of any organization, entity, or individual other than the ACS, and is not a warranty
of any type regarding content on the web site displaying the ACS Badge.
